These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and AxelleMD (“we,” “us,” or “our”). These Terms govern your access to and use of the AxelleMD website, mobile application, content, and all associated services (collectively, the “Services”).

BY CREATING AN ACCOUNT, CLICKING “I AGREE” (OR A SIMILAR BUTTON), OR BY OTHERWISE ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE.

If you do not agree to these Terms, you may not access or use the Services.

1. About the Services

AxelleMD is a health literacy platform offering AI-powered insights, educational prompts, and community engagement tools designed to help users understand medical topics. The core of our community interaction is built on the principle of anonymity to foster open and safe dialogue.

2. CRITICAL HEALTH AND MEDICAL DISCLAIMER

THE SERVICES ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. BY USING THE SERVICES, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

 

  • NO MEDICAL ADVICE: THE CONTENT AND INFORMATION PROVIDED BY AXELLEMD—INCLUDING BUT NOT LIMITED TO AI-GENERATED PROMPTS, ANALYTICS, SUGGESTIONS, OR ARTICLES—ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR EMERGENCY INTERVENTION. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR ANOTHER QUALIFIED HEALTHCARE PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION.

 

  • NO DOCTOR-PATIENT RELATIONSHIP: YOUR USE OF THE SERVICES DOES NOT CREATE A DOCTOR-PATIENT, THERAPIST-CLIENT, OR ANY OTHER LICENSED PROVIDER-PATIENT RELATIONSHIP. AXELLEMD IS NOT A LICENSED MEDICAL SERVICE PROVIDER AND DOES NOT OFFER MEDICAL CONSULTATIONS, PERSONALIZED HEALTH ASSESSMENTS, OR PRESCRIPTIVE RECOMMENDATIONS.

 

  • NOT FOR EMERGENCIES: NEVER USE THE SERVICES IN A MEDICAL OR MENTAL HEALTH EMERGENCY. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL YOUR LOCAL EMERGENCY NUMBER (E.G., 112 IN GHANA) IMMEDIATELY.

 

  • AI LIMITATIONS: OUR AI FEATURES ARE EXPERIMENTAL TOOLS BASED ON GENERALIZED MEDICAL KNOWLEDGE AND ARE NOT INFALLIBLE. THEY DO NOT ACCOUNT FOR YOUR PERSONAL MEDICAL HISTORY OR UNIQUE CIRCUMSTANCES AND MAY PRODUCE OUTDATED, INCOMPLETE, OR INCORRECT INFORMATION. YOU ARE SOLELY RESPONSIBLE FOR HOW YOU INTERPRET AND USE ANY INFORMATION FROM THE SERVICES.

 

  • GEOGRAPHIC LIMITATIONS: THE SERVICES ARE NOT TAILORED TO ANY SPECIFIC COUNTRY’S HEALTHCARE SYSTEM, LAWS, OR REGULATIONS. LOCAL MEDICAL STANDARDS, DRUG AVAILABILITY, AND HEALTHCARE PRACTICES VARY. USERS ARE RESPONSIBLE FOR ENSURING THAT ANY HEALTH-RELATED DECISIONS OR ACTIONS TAKEN BASED ON AXELLEMD’S SERVICES COMPLY WITH THE APPLICABLE HEALTHCARE LAWS, REGULATIONS, AND GUIDELINES OF THEIR COUNTRY.

3. Eligibility

You must be at least 16 years of age to use the Services. If you are between the ages of 16 and 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and assumes full responsibility for your use of the Services.

4. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and other account credentials.
  • Accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or suspect any security breaches related to the Services.

 

You may choose to delete your account at any time through your account settings. Upon initiating a deletion request, your account will first be deactivated for a period of 30 days. You can reactivate your account at any time during this 30-day period by simply logging back in.

After the 30-day deactivation period has passed, your account and all associated personal data will be permanently and irreversibly deleted in accordance with our Privacy Policy and retention schedules

5. Privacy and Data Protection

Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated by reference into these Terms.

6. Acceptable Use and Community Standards

Your use of the community features of the Services is subject to our Community Guidelines, which are incorporated by reference into these Terms. You agree not to use the Services in any manner that is unlawful, harmful, or violates these Terms. You are strictly prohibited from:

  • Sharing harmful, offensive, defamatory, obscene, or misleading information.
  • Impersonating any person or entity or sharing personal identifying information about yourself or others.
  • Attempting to de-anonymize or identify other users of the Services.
  • Posting spam, unauthorized advertisements, or commercial solicitations.
  • Using the Services for any illegal purpose or in violation of any local, national, or international law.
  • Uploading or transmitting viruses, malware, or any other malicious code.
  • Scraping, reverse-engineering, decompiling, or otherwise attempting to access the source code or underlying architecture of the Services.
  • Interfering with or disrupting the integrity or performance of the Services or its networks.

 

Violation of these standards may result in content removal, suspension, or termination of your account at our sole discretion.

7. Intellectual Property Rights

  • AxelleMD’s Content: All content, trademarks, logos, and intellectual property associated with the Services are the exclusive property of AxelleMD and its licensors. Subject to your compliance with these Terms, AxelleMD grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Services for your personal, non-commercial use.

  • User-Generated Content: You retain ownership of any content you submit, post, or contribute to the Services, such as comments or forum posts (“User-Generated Content”). By submitting User-Generated Content, you grant AxelleMD a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media formats for the purposes of operating, improving, and promoting the Services.

  • Your Representations: You represent and warrant that you own or have the necessary rights to your User-Generated Content and that its use by AxelleMD will not infringe or violate the rights of any third party.

8. Termination

You may terminate these Terms at any time by deleting your account and discontinuing your use of the Services.

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, for any reason, including for any breach of these Terms.

Upon termination, your right to use the Services will immediately cease. The following provisions of these Terms will survive termination: Section 2 (Health Disclaimer), Section 7 (Intellectual Property Rights), Section 8 (Termination), Section 9 (Disclaimer of Warranties), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 12 (Dispute Resolution), Section 13 (Governing Law & Jurisdiction), and Section 14 (General Provisions).

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AXELLEMD EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AXELLEMD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OF OR INABILITY TO USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

 

IN NO EVENT SHALL AXELLEMD’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED GHANAIAN CEDIS (GHS 100.00) OR THE AMOUNT YOU PAID AXELLEMD, IF ANY, IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless AxelleMD, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User-Generated Content caused damage to a third party.

12. Dispute Resolution by Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY AS IT REQUIRES YOU TO ARBITRATE DISPUTES WITH AXELLEMD AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

  • Agreement to Arbitrate: You and AxelleMD agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, “Disputes”) will be resolved by final and binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of a party’s copyrights, trademarks, or other intellectual property rights.

 

  • PROHIBITION OF CLASS AND REPRESENTATIVE ACTIONS: YOU AND AXELLEMD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and AxelleMD agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

 

  • Arbitration Procedure: The arbitration will be administered by the Ghana Arbitration Centre in accordance with its commercial arbitration rules then in effect. The arbitration will be held in Accra, Ghana, unless you and AxelleMD agree otherwise.

 

  • 30-Day Right to Opt-Out: You have the right to opt-out of this agreement to arbitrate by sending written notice of your decision to opt-out to `privacy@axellemd.com` within 30 days after first becoming subject to these Terms. Your notice must include your full name and a clear statement of your intent to opt-out of this arbitration agreement.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.

For any Disputes not subject to arbitration under Section 12, you and AxelleMD agree to submit to the exclusive jurisdiction of the courts located in Accra, Ghana.

14. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire and exclusive understanding and agreement between AxelleMD and you regarding the Services.
  • Changes to Terms: We may modify these Terms at any time. If we make material changes, we will provide you with notice through the Services or by email. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign these Terms.
